Safran announces the success of its offering of Bonds Convertible into and/or Exchangeable for New and/or Existing Shares (OCEANEs) of approximately €650 million

Paris, 5 January 2016

Safran (the ?Company?) has today successfully realized an offering of bonds convertible into and/or exchangeable for new and/or existing shares (?OCEANEs?) due 31 December 2020 (the ?Bonds?) by private placement, of a nominal amount of ?649,999,950.60 (the ?Offering?).

The net proceeds of the Offering will be used for general corporate purposes.

The Bonds will bear a coupon of 0% and the issue price has been set at 104% of par, corresponding to an annual gross yield to maturity of -0.78%.

The nominal unit value of the Bonds has been set at ?89.32 representing a premium of 45% above the reference share price1 on the regulated market of Euronext in Paris.

Settlement is expected to take place on 8 January 2016.

Unless previously converted, redeemed or purchased and cancelled, the Bonds will be redeemed at par on 31 December 2020 (or on the following business day if this date is not a business day).

The Bonds may be redeemed prior to maturity at the discretion of the Company, under certain conditions, and at the discretion of bondholders in case of Change of Control.

An application for the listing of the Bonds on the Open Market (?Freiverkehr?) of the Frankfurt Stock Exchange will be made. Such listing is expected on 8 January 2016.

This Offering has been managed by BofA Merrill Lynch, BNP Paribas and Cr�dit Agricole Corporate and Investment Bank acting as Global Coordinators, Joint Lead Managers and Joint Bookrunners in relation to the Offering.

 

Conversion Right

Bondholders may exercise their conversion right at any time from the issue date and until the 7th trading day preceding the maturity date or the early redemption date.

The conversion ratio is set at one share per Bond subject to adjustments in certain cases.

Upon exercise of their conversion right, bondholders will receive at the option of the Company new and/or existing Safran shares.

The Safran new shares and/or existing eventually delivered shall carry current dividend rights.

 

Dilution

Considering a Bond issue of ?649,999,950.60, represented by 7,277,205 Bonds of a nominal unit value of ?89.32, the maximum dilution would be of 1.7% if the Company decided to pay solely in new shares.

 

Lock-up

In the context of the Offering, the Company has agreed to a lock-up undertaking of 90 days as of the issue date, subject to certain exceptions.

 

Legal framework of the issue and placement

The Bonds have been offered only by way of a private placement, as per the authorization granted by the Company?s extraordinary general meeting held on 23 April 2015 (21st resolution), in France and outside France (excluding the United States of America, Canada, Australia or Japan) to persons referred to in Article L. 411-2-II of the French monetary and financial code (Code mon�taire et financier).
