Membership structure of the Board of Directors of Safran

At its meeting on March 20, 2025, acting on the recommendation of the Appointments and Compensation Committee, the Board of Directors decided to propose the following appointments to the 2025 Annual General Meeting in relation to the Directors whose terms of office are due to expire at the close of that Meeting:
- the appointment of Valérie Baudson as an independent Director, to replace Hélène Auriol Potier;
- the re-appointment of Fabienne Lecorvaisier as an independent Director;
- the re-appointment of Patrick Pélata as an independent Director.
Ross McInnes, Chairman of Safran's Board of Directors, stated that : "With the appointment of Valérie Baudson, the Board of Directors would benefit from a profile well adapted to the responsibilities of a Board of Directors which is committed to best governance practices, as well as her experience gained in her current position as a CEO and her knowledge of financial markets, complementing the other financial skills of the Board's members.
On behalf of the Board, I would like to thank Hélène Auriol Potier for her commitment to the work and deliberations of the Board during her two terms of office."
If the shareholders at the 2025 Annual General Meeting follow the Board of Directors' recommendations on the appointment and re-appointments of Directors, at the close of the Meeting, the Board would have 16 members, with 66.7% independent Directors and 41.7% of Directors being women.
Profile of Valérie Baudson:
Born in 1971, and a French national, Valérie Baudson is a graduate of the HEC Paris business school. She began her career in 1995 at Banque Indosuez in the General Audit department. She then joined Crédit Agricole Cheuvreux, the European brokerage subsidiary of the Crédit Agricole group, as Corporate Secretary and then Marketing Director for Europe.
Valérie Baudson joined Amundi in 2007 to create the ETF business line (second largest player in Europe). She became a member of the Amundi group’s Executive Committee in 2013, then a member of the Management Committee in 2016, date on which she was also appointed Managing Director of CPR AM, an active asset management company recognized in particular for its thematic & ESG expertise. At the same time, she took on the supervision of Amundi's subsidiaries in Germany and Spain. In 2020, she also became head of the Amundi group's division dedicated to retail and private banking clients worldwide.
In May 2021, Valérie Baudson was appointed Chief Executive Officer of Amundi.
Valérie Baudson is also a member of the Board of Directors of CA Indosuez Wealth, a member of the Strategic Committee of the Association Française de la Gestion Financière (AFG) and President of the Paris Europlace Investors' College.
