Assist in creating, implementing and maintaining an effective, best-in-practice, Contracts Management and Legal function, consistent with all applicable statutory and regulatory requirements, across Safran Seats' global operations. On a case –by-case basis, lead or assist with contract negotiations. Develops and enhances the processes and tools going forward, optimizing efficiency and improving commercial viability. Guiding and providing legal and contacts expertise to global Sales & Marketing, Customer Service, Program Management, Engineering, Supply Chain, Procurement and other teams.

2) Duties and Responsibilities (essential functions):

A) In collaboration with supply-chain, procurement, and legal management, assists in updating, establishing, implementing, and maintaining best-in-class global supply-chain contracts processes and procedures.
B) Ensures consistent and efficient alignment for supply-chain contracts processes across three global Safran Seats' business units.
C) Perform risk assessment of contract terms and conditions; developing strategies to minimize potential risks to the business.
D) Work with internal and external customers and suppliers to resolve issues to ensure successful contract execution.
E) Ensure adherence to global contract policies, processes, and guidelines necessary to maintain secure contract documentation in the local Safran Seats USA Contracts Database, the Safran Commercial Database, and paper files.
F) Collaborate with Director, Contracts and Legal and other internal and external legal counsel in resolving contract disputes, addressing litigation, product liability claims, and complex contractual issues.
G) When required, serve as an integral member of the negotiating team on major sales and procurement contracts, including travel when necessary.
H) Provides advice, strategy, information and instruction to Senior Management and global Safran affiliated business units with respect to contract management as it is affected by laws, regulations and administrative agencies and industry trends.
I) Drafts, negotiates and finalizes contracts and contract documents with customer and supplier contracting officers and other representatives to ensure consistency with the solicitation and proposal.
J) Participates in the development of bid strategies and the production of winning proposals and the execution of approved strategies.
K) Advises Senior Management on the Program's status. Serves as a valued partner to Management to fully complying with all legal and regulatory requirements.
L) Participates in regular contracting risk assessment activities to maintain a robust and compliant Contracts program. Conducts on-site reviews, desk audits, and spot checks to foster compliance. Develops and implements corrective action plans when required.
M) Consults with Director, Contracts and Legal to resolve legal issues.
N) Performs other duties as assigned.

A) Knowledge and Skills:

i) Advanced contract and technical knowledge, and/or experience in contracting, strategic partnering, or other highly complex contractual arrangements required, including demonstrated skills and experience with supply-chain contracts.
ii) Skilled in the use of computers and software applications including the ability to effectively utilize online database and collaboration tools including Webex, Microsoft SharePoint and Microsoft Teams.
iii) Skills and experience necessary to effectively communicate and collaborate with external and internal global customers and teams.
iv) Knowledge of commercial contract law.
v) Excellent written communication skills.

B) Education and Experience:
i) Law degree and license to practice law in at least one state.
ii) 4 – 6 years of experience in commercial contracts.
iii) 3+ years of law firm and/or in-house legal experience as a practicing attorney.

C) Competencies:

Acts in accordance with company values and related competencies.

D) Communication Skills:

Must have the ability to generate written communication and to operate required office equipment. Ability to read and review written communication. Speech and hearing abilities that allow individual to communicate clearly and distinctly in English.

E) Reasoning Ability:

Ability to solve problems and think strategically.

4) Physical Demands:

This position requires extended periods of sitting while working with computers and viewing computer monitors and other office equipment. Finger dexterity needed in using misc. office equipment such as telephone, computer and copy machine, etc. Bending, stooping, reaching, and lifting up to approximately twenty pounds are required during tasks related to the job.
