1. Collaborate with legal department members, and, if so assigned, specifically provides support to the supervising Legal Director.
2. Conduct legal research, renders legal advice to, and liaises with management, operations, finance, human resources, program management, contracts, intellectual property, marketing/sales, engineering, product support, supply chain, planning, certification, export compliance, insurance, trade compliance, data privacy, and quality departments.
3. Work closely with other departments in the creation of new contracts:
o Draft and review contractual and pre-contractual documents and amendments, including without limitation non-disclosure agreements, sales agreements, responses to requests for information/requests for proposal, FAR/DFAR terms, letters of agreement, memoranda of understanding, settlement agreements, product support agreements, services agreements, licensing agreements, facility leases, supply chain agreements, purchase order / invoice terms and conditions, consultant agreements, merger agreements, asset purchase agreements, and joint venture agreements;
o Organize, manage, and document the review of contract exhibits by all affected stakeholders;
o Coordinate with management, operations, finance, contracts, intellectual property, marketing/sales, engineering, product support, purchasing, export compliance, and quality departments to devise and implement appropriate business strategies;
o Lead or participate in negotiations face-to-face, online, via video conference, telephone, or email;
o Validate final signature versions, secures corporate sign-off, and collects signatures; and
o File and manage hardcopy contractual documents and electronic databases in accordance with corporate procedures.
4. Interpret existing contracts:
o Support program management, contracts, and supply chain department personnel on questions related to contract and purchase order review and processing, in-scope/out-of-scope work, proposal generation, price escalation calculation, and other contract interpretation questions; and
o Draft and revise business letters.
5. Handle disputes and litigation management:
o Advise management and program teams on contractual rights and obligations;
o Draft responses and demand, termination, and cease and desist letters;
o Implement litigation holds and discovery measures, including the gathering of information, materials, documents, reports and evidence necessary to respond to discovery;
o Brief management on case status and strategy; obtains clearance for proposed settlement amounts; and
o Attend mediation/arbitration meetings, depositions, and court hearings;
6. Write, implement, and administer procedures sponsored by the legal department, and ensures compliance of the operations (as required) with Safran policies and procedures under the responsibility of the legal department.
7. Perform all other duties as assigned.
The Legal Counsel is responsible for providing legal advice and support to Safran Cabin's legal department, business divisions and affiliates. Duties include creating transactional documents, interpreting existing agreements, and advising on legal and corporate matters for multiple, domestic and international legal entities, as well as providing legal support for functional assignments. This position reports directly to a Legal Director or the General Counsel of Safran Cabin.
Education: J.D. degree, active license to practice law in the relevant location
Experience: 2+ years of experience within a legal department; experience for a commercial aerospace company or equivalent industry is a plus
Computer Skills: Proficiency with MS Office Suite (Excel, Word, PowerPoint)
• High degree of professional ethics and integrity
• Sound judgement and ability to analyze situations and information
• Outstanding communication skills
Desirable: Fluent in Chinese or Spanish
